Transfer of Vicentin S.A.I.C. Shares to Grassi Business Group Becomes Effective

Santa Fe, December 26, 2025.

On today’s date, the Civil and Commercial Court of the Second Nomination of Reconquista, presided over by Judge Fabián Lorenzini, issued a ruling making effective the transfer of the shares of Vicentin S.A.I.C. to Grassi S.A., in compliance with the approval resolution previously issued by the same Court.

This act also marks the establishment of a new Board of Directors for the company, composed of Mariano Grassi as Chairman, Leandro Salvatierra as Vice Chairman, and Hugo A. Grassi as Director.

In this way, a highly significant formal step has been completed, marking the birth of the New Vicentin Argentina, which will be built upon the foundations of an unprecedented industrial history, the commitment and capabilities of its people—who were able to sustain the company’s operations during extremely challenging times—and the drive of a business group fully backed by 100% Argentine capital.

On this basis, we aspire for NV Argentina to become a leading player in the agro- industrial sector and to strengthen the entire agro-export value chain through a collaborative vision that promotes and enhances the value of each link in that chain.

A New Vicentin Argentina Is Born: The Court Approves Grassi S.A.’s Proposal.

The share transfer is finalized and a new chapter begins for one of the country’s most important agro-industrial complexes.

The Civil and Commercial Court of Second Nomination of Reconquista, presided over by Judge Fabián Lorenzini, has issued the final court approval and ordered the immediate transfer of the shares of Vicentin S.A.I.C. to Grassi S.A.

In this way, our business group—backed by more than 137 years of experience in the Argentine agricultural sector—has been formally confirmed and now assumes the management of the company.

We take on this challenge with deep conviction, great enthusiasm, and absolute confidence in our experience, in the capabilities of our people, in the valuable human resources that Vicentin still retains today, and in the scale and strength of the commercial partners who have supported us in consolidating this work plan and who will continue to accompany us in the management phase that now begins.
